clients to conduct successfully, is given below.
Acquisition of Peiser GmbH by Assa Abloy Entrance Systems, Germany
SDR assisted in the completion of the negotiations of the purchase of one of northern Germany's premier automatic door and gate operator businesses.
The business will be gradually integrated into the Ditec Group of companies.
The transaction was completed March 2010.
Acquisition of Doortech Ltd by Besam, New Zealand
SDR identified and advised on the purchase of NZ's largest automatic door service company, based in Wellington but with operations also in Auckland and Christchurch.
This privately owned company was integrated into the Besam service group in New Zealand.
The transaction was completed March 2009.
Acquisition of Marine Fasteners by Wuerth, USA
SDR identified and advised on the purchase of one of the US largest stainless steel fastener suppliers. The target company was based in Florida with 2 branches in the mid-west. The deal was concluded in January, 2008. The turnover of the company at sale was around $US36million.
Acquisition of Arvid Neilson AB by Wuerth, Denmark
SDR identified and advised on the purchase of one of Scandinavia's largest independent fastener companies from the Arvid Neilson Trust – an organisation with wide philanthropic objectives. The company was founded in Denmark but had its largest hub in Sweden and a manufacturing plant in Norway. The deal was completed in March 2008. The turnover of the company upon sale was around €100 million.
Acquisition of Nordiska Bult (Sweden) by Würth
SDR identified and managed the acquisition process of one of Sweden's
significant suppliers of industrials fasteners, Nordiska Bult, to Würth. The target company
based in Goteburg was acquired in December 2006, following 6 months of negotiation. The
acquisition has significantly improved Würth's position in the Scandinavian region.
Acquisition of Action Bolt (Republic of South Africa) by Würth
SDR identified and managed the acquisition process for Würth in the purchase of one of South Africa's
foremost fastener companies based in Durban. Action Bolt employs over 100 people with offices in
several provinces of the Republic. The transaction was closed in August 2006, following 4 months of
intensive negotiations. The acquisition has added an important arm to Wueth's industrial fastener
business in Africa.
Acquisition of James Glen Ltd (Australia) by Würth
SDR managed the rapid acquisition of James Glen Ltd - Australia's foremost stainless steel fastener
business in January - February, 2006. The company had a turnover of $A25 million at the time of
sale. The purchase has consolidated Würth's position as a key supplier to Australian industry
alongside its other businesses there -EDL and TWL.
Acquisition of SOW Diesel (Brazil) by Würth
SDR identified and managed the acquisition of this new branch of Würth's industrial supplier
network. SOW Diesel was acquired out of private ownership and the erstwhile management has remained
in place. The transaction closed on 15 December 2005.
Acquisition of The Doorman by Assa Abloy AB
SDR advised Assa Abloy in the purchase of a New Zealand door service operator in June 2005.
Acquisition of Security
Merchants by Assa Abloy AB
SDR Ltd managed the acquisition of Security Merchants Group Ltd, one of Australasia's
largest security product distributors with sales of $35 million. The New
Zealand and Australian business have been sucessfully integrated into Assa Abloy
Australia Pacific Pty Ltd - the fastest growing geographic dvision of the Swedish
multinational locking corporate. The transaction was completed on 31 March 2004.
Sale of Goodwood Ltd
SDR managed the sales process of the leading New Zealand manufacturer of dowels
and other wooden componentry to Porta Pty Ltd in Victoria, a privately held
Australian wood specialist company. The transaction was completed in August
2004.
Acquisition of Dunn Son
and Stone Pty Ltd by AgriQuality Ltd
SDR identified DSS as an appropriate target for the New Zealand state-owned
enterprise in its expansion into Australia and managed the lengthy acquisition
process. AgriQuality is New Zealand's largest food laboratory and auditing
company and the DSS gave it an import bridgehead into Australia. The transaction
was completed in October 2003.
Würth – Acquisition
of Thomas Warburton Pty Ltd
SDR supported Wuerth during the acquisition process
of TWL as it did with the EDL transaction in 2001.
Wuerth improved it’s presence in Australia significantly
through purchasing TWL, whose annual turnover is AU$
25 million. The transaction was successfully completed
on 30 June 2003.
Gribbles
Gribbles
Group
consists
of more
than
25 laboratories
and is
one of
Australia’s
largest
companies
in the
pathology
sector. With the cooperation of SDR Gribbles purchased
several companies within New Zealand.
Acquistion of Kerson Laboratory Services
In June 2003 Gribbles took over Kerson Laboratory Services,
which is specialised in food and environmental testing.
Gribbles consolidated its position in the New Zealand
market by purchasing the company which has an annual
turnover of several million dollars.
Acquisition of Enviro Health Laboratory Ltd
In May 2003 Gribbles Group bought out Enviro Health Laboratory
Ltd. SDR facilitated the deal.
Acquisition of E-Lab
SDR initiated the purchase of E-Lab. E-Lab is specialised
in testing of water, fertilizers, and plant and animal
products. SDR sourced the laboratory with an annual turnover
of several million dollars as a potential target for Gribbles
Group. The acquisition took place in April 2003 and was
facilitated by SDR.
Acquisition of Alpha Scientific
With assistance of SDR Gribbles took over Alpha Scientific
in March 2003. The laboratory mainly works in veterinary
pathology and has a turnover of an estimated 10 million
dollars.
Gribbles Acquisition of AgriQuality's
Veterinary Health Laboratories
SDR brokered the transaction between the New Zealand State-owned
Enterprise, AgriQuality Ltd, and Gribbles, the Australian
listed pathology company, which saw the 4 former state
laboratories in Auckland, Hamilton, Palmerston North and
Christchurch, pass to the Gribbles Group.
The transaction was completed in April 2002.
Gribbles Acquisition of Labworks and Labnet
Gribbles on its acquisition of 2 laboratories in the
South Island of New Zealand. These laboratories were privately-owned
veterinary and general food labs with a combined turnover
of $5million. The acquisitions consolidated Gribbles
leading position in veterinary pathology in New Zealand
as well as providing greater volume to its food business. The
transactions were completed in June 2002.
Acquisition of the Interlock Group by Assa Abloy AB
SDR assisted the international corporate, Assa Abloy,
in their acquisition of Interlock, the leading New
Zealand manufacturer of window and door hardware
at the end of 2001. Acquiring this innovative and
well-managed company with a yearly turnover of NZ$60million,
was a significant step forward to expand Assa Abloy’s
presence in Australasia and to strengthen their position
as world leader in the security and lock industry.
At the same time it created many new international
expansion opportunities for Interlock as well as
providing the support to exploit these.
Wuerth Acqusition of EDL Fasteners Group
Wuerth AG, the largest European Fastener company
at DM10 billion turnover, sought to increase its
holdings in Australia and New Zealand. SDR located
several targets, and following consultation with
Wuerth AG, selected EDL as it had 7 branches in New
Zealand and 2 in Australia. The sale process began
in June 2000 and was completed on 5 January 2001.
Company turnover for the group amounted to $NZ30
million.
Silliker Acquisition of Amdel Sydney Microbiological Labs
Silliker is a large US based food laboratory group
with operations in 24 countries. SDR assisted Silliker
in the acquisition of Amdel Australia’s Sydney
food labs. Negotiations commenced in September 2000
and the transaction concluded on 15 May 2001.
Also SDR assisted Silliker in the take-out of Silliker’s
minority shareholders, Safe Food NSW, in its Sydney
laboratory company, Silliker Microtech. This transaction
was completed on 1 May 2001.
Eff-Eff Acquisition of Trimec Technology
Eff-Eff is Europe’s largest electric strike lock
manufacturer based in Germany. SDR assisted Eff-Eff in
protracted negotiations on the purchase of Trimec Technology
- Australia’s largest electromechanical lock
manufacturer.
Trimec Technologies has 80 percent of the Australian
market for electric strikes and exports to 25 countries.
This transaction was completed in April 200. Trimec
Technology turns over $6.0 million per annum.
Trimec Technology Acqusition of Padde Door Controls
SDR assisted Trimec acquire Padde - Australia’s largest
electric lock wholesaler in September 2000 from Tyco Services
Ltd. This consolidated Trimec’s position in
Australia and significantly increased in EBIT performance.
Masport Distribution Network in Eastern Europe
SDR located distributors for Masport in Poland, Hungary,
Moscow and Lithuania over 1999-2000. Masport is a
significant Trans-Tasman manufacturer of heating
stoves, and lawn-mowers.
